Terms of Use

These Terms of Use govern your access to and use of Guardzy’s website, platform, and related services.

Last updated: March 24, 2026 By accessing or using Guardzy, you agree to these Terms and any additional commercial terms that apply to your subscription, order form, or workspace.
In short: these Terms explain account use, subscriptions, acceptable use, intellectual property, liability, and other rules that apply to the Service.

These Terms of Use apply to your access to and use of Guardzy’s website, platform, trial environments, demos, support interactions, and related services.

If you are using Guardzy on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

In these Terms, “Guardzy”, “we”, “us”, and “our” means the Guardzy entity providing the Service. “You” means the individual or organisation using the Service. “Service” means Guardzy’s website, platform, software, features, and related services. “Customer Data” means information, records, attachments, and other content submitted to the Service by or for a customer.

2. Eligibility and Accounts

In short: users must be able to enter a binding agreement, keep account details accurate, and protect account credentials.
  • You must be legally capable of entering a binding agreement to use the Service.
  • You must provide accurate, complete, and current account information and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and using reasonable account security practices.
  • Each account or login may only be used as permitted by the relevant subscription, workspace rules, and these Terms.
  • You are responsible for activities under your account unless they result from Guardzy’s own actions or failures.
  • Guardzy may require security controls such as multi-factor authentication, verification, or role-based access restrictions.
  • If you use a work email or organisation-managed account, the organisation may have administrative control over that account or workspace.

3. Organization Workspaces and Administrators

Organization Workspaces and Administrators

In short: organisation admins may control users, permissions, settings, and access to content in a managed workspace.

If an account is created under an organisation workspace, workspace owners and administrators may manage users, permissions, settings, content access, and subscription details.

Authorised administrators may be able to view, transfer, restrict, or remove access to content associated with organisation use.

Users should keep personal or private material separate from organisation-managed environments if they want it treated separately from work-managed systems.

Guardzy is not responsible for internal access, retention, or administrative decisions made by a customer’s authorised administrators.

4. The Service

The Service

In short: Guardzy is a cyber governance and cyber risk management SaaS platform that supports structured programs, collaboration, reporting, and integrations.

Guardzy may provide features such as:

  • Profiles and business setup
  • Asset and risk registers
  • Planning and implementation workflows
  • Evidence and policy tracking
  • Reporting and dashboards
  • Reminders, notifications, and collaboration features
  • Integrations with third-party systems
  • AI-assisted support features where available

Guardzy may add, change, improve, or remove features over time as part of product development, security improvements, commercial changes, or operational needs.

5. Acceptable Use

Acceptable Use

In short: use Guardzy lawfully, responsibly, and without abusing the platform, its users, or any connected systems.

You must not use the Service to:

  • Break the law or facilitate unlawful conduct
  • Infringe intellectual property, confidentiality, privacy, or other rights
  • Upload malware, malicious code, or harmful content
  • Attempt unauthorised access, probing, scanning, or security testing without permission
  • Interfere with the Service, infrastructure, or other users
  • Scrape, harvest, or extract data except as expressly allowed
  • Reverse engineer, decompile, or attempt to derive source code except where such restrictions cannot legally be enforced
  • Use the Service to build, benchmark, or train a competing product without permission
  • Misuse AI-assisted features or generate unlawful, deceptive, harassing, discriminatory, or harmful content
  • Upload content you do not have rights or authority to use
  • Misrepresent your identity, affiliation, or authorisation
  • Engage in fraud, abuse, or conduct that undermines platform trust or security

6. Customer Data

Customer Data

In short: you keep ownership of Customer Data, and Guardzy only receives the rights needed to operate, support, secure, and improve the Service.

The customer retains ownership of Customer Data. Guardzy does not claim ownership of Customer Data.

You grant Guardzy the rights necessary to host, process, transmit, back up, display, and otherwise use Customer Data as required to provide, secure, support, and improve the Service in accordance with these Terms, the Privacy Policy, and any applicable commercial agreement.

You are responsible for ensuring you have the rights, permissions, notices, and legal basis needed to upload or submit Customer Data to the Service.

Guardzy may use de-identified and aggregated data for analytics, security, service improvement, and benchmarking, provided that such data does not identify the customer or individuals.

7. Feedback

Feedback

In short: if you share product suggestions or ideas, Guardzy can use them without an ongoing obligation to you.

If you provide feedback, suggestions, ideas, or enhancement requests about the Service, Guardzy may use them without restriction or obligation to you.

8. AI-Assisted Features

AI-Assisted Features

In short: AI-assisted features can help accelerate workflows, but customers remain responsible for reviewing outputs before relying on them.

Guardzy may provide AI-assisted drafting, recommendations, summaries, classifications, or workflow support.

AI-generated or AI-assisted outputs may be inaccurate, incomplete, or unsuitable for a particular use case. You remain responsible for reviewing outputs before relying on them.

Guardzy may suspend, limit, or change AI-assisted features at any time.

Use of AI-related data is governed by the Privacy Policy and any applicable commercial terms, settings, or product controls.

9. Third-Party Services and Integrations

Third-Party Services and Integrations

In short: Guardzy can connect with third-party tools, but those services remain governed by their own terms and policies.

The Service may interoperate with third-party services such as cloud providers, email systems, identity providers, ticketing tools, collaboration tools, and productivity suites.

Use of third-party services is subject to those providers’ own terms and privacy policies. Guardzy is not responsible for third-party services.

Where enabled by the customer or necessary for an integration to function, Guardzy may exchange Customer Data with connected third-party services.

10. Subscriptions, Billing, Trials, and Renewals

In short: Guardzy may offer free, trial, pilot, and paid plans, and commercial terms may vary by plan or by signed order form.

  • Pricing, included features, and usage limits may vary by plan.
  • Paid subscriptions may renew automatically unless cancelled before renewal, unless otherwise specified in your order form or plan terms.
  • Fees are payable as described at purchase or in an applicable order form.
  • You authorise Guardzy or its payment processor to charge applicable fees.
  • Taxes may apply unless stated otherwise.
  • Trial or pilot access may be limited and may end automatically.
  • Guardzy may change pricing with prior notice for future billing periods.

If billing or subscription terms are governed by a negotiated order form, MSA, or similar agreement, that agreement prevails to the extent of any conflict with these Terms.

11. Suspension and Termination

In short: Guardzy may restrict access for security, legal, payment, or breach reasons, and customers should export data they need before termination where available.

Guardzy may suspend or restrict access if reasonably necessary for security, legal compliance, non-payment, suspected fraud, or material breach.

Customers may stop using the Service at any time, subject to any notice or payment obligations in the applicable subscription or order form.

Either party may terminate for material breach, subject to any contractual cure period that applies.

On termination or expiry, access may end and Customer Data may be deleted in accordance with the Privacy Policy, product settings, backup cycles, and contractual terms.

Customers should export needed data before termination where functionality allows.

Billing obligations accrued, intellectual property provisions, disclaimers, limitation of liability, indemnity, governing law, and other provisions that by their nature should survive will survive termination.

12. Intellectual Property

Intellectual Property

In short: Guardzy owns the Service and related IP, while customers keep ownership of their own data.

Guardzy and its licensors retain all rights, title, and interest in and to the Service, software, branding, interfaces, documentation, and related intellectual property.

Except for rights expressly granted under these Terms, no rights are transferred to you.

You may not use Guardzy trademarks, branding, or logos without permission except as permitted by law or any applicable branding guidelines.

13. Privacy and Security

Privacy and Security

In short: Guardzy applies reasonable safeguards, but customers also remain responsible for their own internal security settings and processes.

Guardzy’s Privacy Policy explains how personal information is handled.

Guardzy implements reasonable technical and organisational safeguards to protect the Service and the information processed through it, but no service can be guaranteed completely secure.

Customers are responsible for their own configuration choices, access controls, endpoint security, and internal processes.

Where Guardzy processes personal information on behalf of business customers, that processing may also be governed by a Data Processing Addendum where applicable.

14. Service Availability and Changes

In short: Guardzy aims to keep the Service available, but maintenance, outages, third-party failures, and platform changes can affect availability.

Guardzy may update, enhance, modify, or discontinue features from time to time.

Guardzy will use reasonable efforts to maintain service availability, but does not guarantee uninterrupted or error-free operation.

Maintenance, outages, third-party failures, and events outside Guardzy’s reasonable control may affect availability.

Guardzy may issue updates, patches, and changes for security, compliance, product evolution, or operational reasons.

15. Warranties Disclaimer

In short: to the maximum extent permitted by law, Guardzy provides the Service on an as-is and as-available basis.

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

Guardzy disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement, except to the extent such warranties cannot legally be excluded.

Guardzy does not warrant that the Service will be uninterrupted, error-free, or suitable for every use case.

16. Limitation of Liability

In short: each party’s liability is limited in a commercially typical way, subject to carve-outs that should be confirmed in final legal review.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.

To the maximum extent permitted by law, each party’s aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of:

  • the fees paid by the customer in the 12 months before the claim arose, or
  • [insert fallback amount for free users or low-fee customers]

The liability cap above does not apply to customer payment obligations, breaches of acceptable use restrictions, infringement or misuse of the other party’s intellectual property, fraud, wilful misconduct, or liability that cannot legally be excluded or limited.

17. Indemnity

In short: customers are responsible for claims that arise from their own data, unlawful use, or breach of these Terms.

You will indemnify Guardzy and its affiliates, officers, employees, and service providers against claims, losses, liabilities, and reasonable costs arising from Customer Data, unlawful use of the Service, or breach of these Terms by you or your authorised users.

18. Governing Law and Disputes

In short: the governing law and venue should be confirmed in final legal review, and the parties should first try to resolve disputes directly.
